Terms of Service
The agreement between you and VBN Studio: what the service does, what you may and may not do with it, who owns what you make, and how billing, storage and termination work.
Effective
This agreement
These Terms of Service ("Terms") are an agreement between you and the team that operates VBN Studio ("we", "us", "our"), governing your use of VBN Studio at vbnstudio.ai and everything we offer through it (the "Service").
By creating an account, signing in, or using the Service, you accept these Terms. If you do not accept them, do not use the Service. If you are using it for an organisation, you confirm you are authorised to bind that organisation, and "you" means the organisation.
VBN Studio is an early-stage product built by a small team. We have written these Terms to describe what the Service actually does today rather than what a larger company's policy would claim. Features change, models come and go, and some parts are marked Preview because they are not finished. We would rather tell you that plainly than promise a level of service we are not yet able to guarantee.
Two further documents form part of this agreement and you should read them: the Privacy Policy, which explains what we do with your data, and the Refund Policy, which governs payments. Where the Refund Policy and these Terms differ on money, the Refund Policy governs.
What the Service is
VBN Studio is a studio for generating and editing images, video and audio using artificial-intelligence models. It gives you one catalogue of models from several providers, one credit wallet that pays for all of them, and tools built on top: a media library, a video editor, dubbing and voice workflows, and a public gallery called Explore.
The models are operated by third parties, not by us. We route your request to the provider that runs the model you chose and return the result. Which models are available, what they cost in credits and what they can do changes as providers add, withdraw, reprice and update them. We may add, change, reprice or remove any model or feature at any time.
Some surfaces are marked Preview or Beta in the interface. Those are incomplete, may behave unexpectedly, may not charge or deliver as a finished feature would, and may be withdrawn without notice. They are provided as they are, and a subscription is not a purchase of any particular one of them.
Who may use it
- You must be at least 18 years old. The Service is not offered to children, and we do not knowingly create accounts for them.
- You must be legally able to enter a contract in the place where you live.
- You must not be barred from using the Service under any applicable sanctions, export-control or trade law, and you must not be located in a territory subject to comprehensive sanctions.
- One person, one account. You may not create multiple accounts to obtain additional free credits, trials or promotional grants.
If we learn that an account belongs to somebody under 18, we will close it. If you believe a child has created an account, tell us at support@vbnstudio.ai.
Your account
Signing in is by a one-time code sent to your email address. There is no password. Your email address is therefore your identity here: whoever controls your inbox controls your account, including the ability to spend your credits and make purchases.
- Keep your email account secure, and keep it under your control. We cannot verify that a code was entered by you rather than by somebody with access to your mailbox.
- One email identity binds to exactly one VBN Studio account, and that binding cannot be transferred to a different identity.
- Give us an address you can actually receive mail at. Storage warnings, moderation notices and payment receipts go there, and a deadline you did not read still expires.
- Do not share your account, and do not let anybody else use it. Everything done through it is treated as done by you.
- Tell us immediately at support@vbnstudio.ai if you believe your account has been accessed without your permission.
We may apply rate limits to sign-in, publishing and other actions to protect the Service, and we may require additional verification where activity looks automated or abusive.
Plans, credits and billing
Paid access is sold as a subscription plan, and additional credits are sold as credit packs. Prices are published on the Pricing page. All payments are processed by Dodo Payments, which acts as merchant of record: your purchase contract for the payment itself is with Dodo Payments, under its Buyer Terms.
Credits
Every billable action costs credits. Before an operation runs, the server quotes its exact cost from the options you selected, and the credits are reserved. Credits are a prepaid unit of account inside the Service. They are not money, have no cash value, cannot be withdrawn or transferred, and are not refundable.
- A plan grants a monthly allowance, which expires 31 days after it is granted and does not roll over.
- An annual plan is charged once and grants its allowance monthly across the twelve months.
- Credit pack credits do not expire, and a pack can only be bought while a plan is active.
- If a generation fails or is cancelled, the reserved credits return to your wallet automatically.
- Every movement is recorded in your ledger and visible in Settings → Usage.
Renewal and cancellation
Subscriptions renew automatically until cancelled. You may cancel at any time from Settings → Subscription; cancellation takes effect at the end of the period you have already paid for, and access continues until then.
Prices and taxes
Prices are stated exclusive of tax; Dodo Payments adds any sales tax, VAT or GST due in your country at checkout, and shows you the total before you pay. We may change prices at any time: a change never affects a period you have already paid for, and we will give you notice before a changed price applies to one of your renewals, so you can cancel first if you do not want it.
Your content and the outputs
What you put in
"Input" means everything you supply: prompts, images, video, audio, voice samples, documents, project data and settings. You keep all rights you already have in your Input. We claim no ownership of it.
You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, transmit, reformat and process your Input, and to send it to the model provider you chose, for the sole purpose of operating the Service for you, running the generation you asked for, storing the result in your library, producing thumbnails and previews, and delivering it back to you. The licence lasts only as long as we hold the content, and ends when it is deleted.
What comes out
"Output" means what a model generates from your Input. As between you and us, you own the Output, and you may use it commercially, including on a paid plan. We assert no ownership over it.
Three honest limits on that, which no provider of generative AI can remove:
- We cannot guarantee that an Output is original or exclusive to you. Models are probabilistic and other users may generate something similar or identical from similar prompts.
- We cannot guarantee that an Output is protectable by copyright. Many jurisdictions, including India and the United States, limit or deny copyright in works generated without sufficient human authorship.
- We cannot guarantee that an Output does not infringe somebody's rights. Checking that what you publish or sell is lawful in your market is your responsibility.
The underlying models are also subject to their providers' own terms, which may restrict certain uses of what they produce. Where a model's provider imposes a restriction, it applies to you as well.
You are responsible for having the rights to your Input (every photograph, recording, logo, character and voice you upload) and for the consequences of using the Output.
Acceptable use
You must not use the Service to create, upload, store, publish or distribute anything in the following categories, and you must not help anybody else do so.
People and consent
- Sexual content involving minors, in any form, real or synthetic. This is reported to the authorities without exception.
- Sexual or intimate imagery of a real person without their consent, including synthetic imagery of an identifiable person.
- A real person's face, likeness or voice without their permission, including impersonating a public figure to make them appear to say or do something they did not.
- Synthetic media presented as real in a way intended to deceive, particularly about elections, public health, disasters or the conduct of identifiable people.
Harm and unlawful content
- Content that incites or threatens violence, or that promotes terrorism or a violent extremist organisation.
- Hate speech, or content that attacks or degrades people on the basis of religion, caste, race, ethnicity, sex, gender identity, sexual orientation, disability or any other protected characteristic.
- Harassment, bullying, stalking, doxxing, or the publication of somebody's private information.
- Content that infringes copyright, trade marks, publicity rights or any other right belonging to somebody else.
- Fraud, phishing, scams, malware, or anything designed to defeat a security control.
- Anything unlawful where you are, or where the content will be seen.
Use of the platform itself
- Reverse engineering, scraping, or automating access to the Service outside of an interface we provide for it.
- Reselling, sublicensing or white-labelling the Service, or using it to build a competing generative-AI product.
- Circumventing credit costs, rate limits, entitlement checks or usage metering, or attempting to obtain paid features without paying.
- Creating multiple accounts to collect repeated free or promotional credits.
- Interfering with the Service, overloading it, or accessing another account's data.
Where content is generated but not published, these rules still apply. Where you publish, they apply with the additional review described in publishing to Explore.
Voice cloning and likeness
The Service can create a synthetic voice from a recording and can apply a voice to speech. A voice is personal to the person it belongs to, and the law in many countries treats it as such.
- Do not clone a voice from a recording you found, bought, scraped or were given without the speaker's knowledge.
- Do not clone the voice of a public figure, a performer or a character you do not have rights to.
- Do not use a cloned voice to impersonate somebody, to defraud, or to make a person appear to have said something they did not.
- A voice you create is private to your account. It is not added to any shared library and is not made available to other users.
- If consent is withdrawn, tell us and we will remove the voice. You must stop using it.
The same principle governs faces and likenesses in images and video: if the person is identifiable and real, you need their permission.
Publishing to Explore
Explore is a public gallery. Publishing to it is entirely optional: nothing you generate is published unless you choose to publish it.
When you publish, you grant us a non-exclusive, worldwide, royalty-free licence to host, reproduce, display, adapt for display, and distribute that item publicly through the Service, including generating thumbnails, previews and other derived versions, and showing it alongside your creator name. This licence exists so that the gallery can work, and it ends when you unpublish, save for copies already cached or distributed, which are removed as they expire.
- Publishing is a request, not a right. We may decline, hide, unpublish or remove anything at our discretion, and we do not have to publish something you submit. We do not promise to review every item before it appears.
- Anybody can report a publication, for sexual content, violence, hate, harassment, copyright, privacy, spam, or anything else. We read reports and act on them; see reporting content.
- You can unpublish at any time, and the public copies are removed.
- Removal from Explore is not deletion from your library. Unpublishing takes an item out of the gallery; deleting it in your library removes it from the Service.
- A creator name is public. Choose one you are content to be seen under.
If you believe something published on Explore infringes your rights or should not be there, use the report control on the item, or see reporting content.
Storage, retention and what happens if a plan lapses
Storage is part of a paid plan. A paid account can upload files and keeps what it generates for as long as the account is in good standing. A Free or lapsed account cannot upload.
Files also carry retention rules of their own, so that abandoned material does not accumulate indefinitely:
| Kind of file | Kept for |
|---|---|
| An upload never attached to anything | 7 days. Attaching it to a generation or a project removes the clock. |
| An input to a failed or cancelled generation | 72 hours. |
| A generation output, or a project source | As long as your account and something that references it exist. |
| A working file inside a dubbing project | 30 days after it stops being used. |
| A thumbnail or preview | As long as the file it was derived from. |
If your plan lapses
If you cancel or stop paying, your media does not disappear on the day the plan ends. Instead:
- Nothing at all is removed for 30 days. Everything stays readable and downloadable throughout that period.
- After that, each file is removed 90 days after the day it was created, so the oldest work goes first and the most recent three months of work is what survives longest.
- We warn you by email as the deadlines approach, and the countdown is shown in the interface throughout.
- Subscribing again stops the process immediately, at any point. What has already been removed is gone; everything still there stays.
Availability and changes
We do not promise that the Service will be uninterrupted, or that any particular model, feature or capacity will remain available. We may modify, suspend or discontinue any part of it, and we may impose or change limits on use, at any time.
Model providers change their offerings on their own schedule. A model can be deprecated, repriced or altered by its provider with little notice, and when that happens we pass the change through. A subscription buys access to the Service and a credit allowance, not to any specific model.
We will make reasonable efforts to give advance notice of a material change, and to carry out planned maintenance at quieter times.
Suspension and termination
You may stop using the Service at any time, cancel your subscription from Settings, and ask us to delete your account by writing to support@vbnstudio.ai.
We may suspend or terminate an account, remove content, or withdraw access to a feature, where:
- these Terms, particularly acceptable use, have been breached;
- we are required to by law, by a court, or by a competent authority;
- a payment has been reversed or a chargeback raised against the account;
- the account is being used in a way that threatens the Service, another user, or a third party; or
- we reasonably suspect fraud or unauthorised access.
Where it is reasonable and lawful to do so, we will tell you why and give you a chance to respond, and for anything less than a serious or repeated breach we will normally warn before terminating. For content that is unlawful or that causes immediate harm, we act first.
Our intellectual property
The Service itself (the software, the interface, the model catalogue and its metadata, the pricing engine, the brand, the name VBN Studio, the logos and the design system) belongs to us or to our licensors, and is protected by intellectual-property law. Nothing in these Terms transfers any of it to you.
We grant you a limited, revocable, non-exclusive, non-transferable licence to use the Service as it is intended to be used, for as long as this agreement is in force. You may not copy, modify, distribute, sell, lease or create derivative works of the Service, nor attempt to derive its source code.
If you send us feedback, suggestions or ideas about the Service, we may use them freely and without obligation to you. This does not give us any right in your Input or your Output.
Disclaimers
The Service is provided "as is" and "as available". To the fullest extent the law permits, we exclude all warranties, conditions and representations that are not expressly stated in these Terms, including any implied warranty of merchantability, fitness for a particular purpose, non-infringement, accuracy, or uninterrupted or error-free operation.
In particular, and without limiting the above:
- Generative models are unpredictable. Output may be inaccurate, offensive, biased, nonsensical, or unlike anything you asked for. The same prompt will not produce the same result twice.
- Output is not advice. Do not rely on it for medical, legal, financial, safety or professional decisions.
- We do not verify Output for accuracy, originality or lawfulness. Reviewing what you use is your responsibility.
- We depend on third parties (model providers, our payment processor, our identity provider, our hosting and storage providers) and their failures can become interruptions here.
Some jurisdictions do not allow certain exclusions, in which case the excluded terms apply to you only to the extent the law requires, and nothing here affects a right you cannot waive.
Limitation of liability
To the fullest extent the law permits:
- We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, nor for lost profits, lost revenue, lost business, lost goodwill, or lost or corrupted data or media, even if we were told such loss was possible.
- Our total aggregate liability arising out of or relating to the Service or these Terms is limited to the greater of (a) the total amount you actually paid us in the twelve months immediately before the event giving rise to the claim, and (b) USD 100.
- We are not liable for the content you or anybody else generates, nor for how you use an Output, nor for a claim brought by a third party about it.
- We are not liable for media removed under the retention or plan-lapse schedules described in storage, nor for a failure caused by something outside our reasonable control.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be excluded under the applicable law. These limits apply even if a remedy fails of its essential purpose, and they reflect a deliberate allocation of risk between us at the prices charged.
Indemnity
You agree to indemnify and hold us, our affiliates and our personnel harmless from any claim, demand, loss, liability, damage, cost or expense (including reasonable legal fees) arising out of or connected with: your Input; your use of any Output; your breach of these Terms or of any applicable law; your infringement of somebody else's rights, including intellectual-property, privacy, publicity or voice rights; or your publication of anything to Explore.
We will tell you promptly about any claim to which this applies, and you may control the defence, but you may not settle anything that imposes an obligation on us or admits fault on our part without our written agreement.
Changes to these Terms
We may update these Terms. The current version is always on this page, with its effective date at the top.
Where a change is material, we will give you reasonable notice by email to the address on your account, or by a notice in the Service, before it takes effect. Continuing to use the Service after a change takes effect means you accept it. If you do not, stop using the Service and cancel your subscription before your next renewal, noting that cancellation still does not produce a refund of a period already paid for.
Governing law and disputes
These Terms, and any dispute arising out of or in connection with them or with the Service, are governed by the laws of India. If you are a consumer resident elsewhere, this does not deprive you of the protection of mandatory consumer-protection rules where you live, or of any right you have to bring proceedings there.
Before starting proceedings, please contact us. Write to support@vbnstudio.ai with the details and give us a fair chance to put it right. Most disputes turn out to be a misunderstanding about billing or moderation, and those are usually settled in a day.
Reporting content
If something on VBN Studio is unlawful, infringes your rights, or should not be there, tell us. Every publication on Explore also carries a report control, which is the fastest route.
Write to support@vbnstudio.ai with the link to the content, what is wrong with it, and enough information for us to see that you are the person affected or someone acting for them.
General
- Entire agreement. These Terms, with the Privacy Policy and the Refund Policy, are the whole agreement between us about the Service and replace anything said before.
- Severability. If a provision is held unenforceable, it is modified to the minimum extent necessary, or removed, and the rest stands.
- No waiver. Not enforcing a right once does not waive it.
- Assignment. You may not assign or transfer these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets.
- Force majeure. Neither party is liable for a failure caused by something outside its reasonable control, including outages at a provider we depend on.
- No agency. These Terms create no partnership, joint venture, employment or agency relationship.
- Survival. The clauses that by their nature should survive (ownership, disclaimers, liability, indemnity, governing law) do so after termination.
- Language. These Terms are written in English, and the English version governs if they are translated.
